SPACER Developer Terms of Service Operated by Skillhouse Private Limited Effective Date: April 2025 PLEASE READ THESE TERMS CAREFULLY BEFORE CREATING AN ACCOUNT OR PURCHASING A PROJECT. By clicking “I Agree”, creating a Spacer account, or proceeding with a project purchase, you (the Developer) acknowledge that you have read, understood, and agree to be bound by these Developer Terms of Service (“Terms”) in their entirety. These Terms are accepted once at account creation and are binding for all current and future projects undertaken through the Spacer platform. If you do not agree to these Terms, do not create an account or proceed with a project purchase. Service Provider: Skillhouse Private Limited, Bhuj, Gujarat, India (“Skillhouse”) Developer: The property developer, builder, or their authorised representative who accepts these Terms (“Developer”) 1. Definitions “Platform” means the Spacer web-based interactive property visualisation software, Dashboard, and hosted infrastructure operated by Skillhouse. “Project” means a single real estate development project for which the Developer has purchased a Spacer licence. “Project Page” means the hosted, publicly accessible interactive web experience for the Developer’s Project, served on a Spacer-assigned URL. “Spacer URL” means the unique web address assigned by Skillhouse to each Project Page. All Project Pages are hosted under Skillhouse’s domain infrastructure. The Developer does not receive a custom domain. “Dashboard” means the web-based interface through which the Developer manages project data, availability, pricing, and other project information. “CAD File” means the Computer-Aided Design drawing file(s) submitted by the Developer to Skillhouse as the authoritative source for the project’s layout, plot dimensions, and structural data. “Developer Data” means all content submitted by the Developer including CAD Files, pricing information, availability status, brochures, approval documents, and any other materials uploaded or provided for use on the Project Page. “Hosting Period” means the duration for which the Project Page is actively hosted, beginning from the date the Project Page goes live. “Visitors” means prospective buyers, brokers, agents, and members of the public who access the Project Page. 2. Account Creation and Acceptance of Terms These Terms are accepted by the Developer at the time of account creation on the Platform by clicking “I Agree”. This single acceptance is binding on the Developer for all projects subsequently purchased or initiated through their account, including future projects. The Developer represents that the individual accepting these Terms is duly authorised to bind the Developer organisation to this agreement. By accepting, the Developer confirms they are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of their organisation. 3. Platform Services Upon purchase of a project, Skillhouse provides the following: 3.1 CAD-Based Project Build Skillhouse processes the CAD File(s) submitted by the Developer and builds an interactive 3D property layout experience based solely on the data contained in those files The scope of the Project Page — including which plots, dimensions, and structural elements are represented — is determined entirely by the CAD File provided Skillhouse is not responsible for accommodating requests, corrections, or additions that go beyond what is present in the submitted CAD File. Any such requests constitute a revision and are subject to additional charges 3.2 Dashboard Access Access to the Spacer Dashboard to manage plot availability, pricing, and other project information independently The Developer is solely responsible for the accuracy and currency of all data entered or updated via the Dashboard 3.3 Hosted Project Page A publicly accessible Project Page hosted on a Spacer-assigned URL for the duration of the Hosting Period The Project Page is accessible to Visitors and may be shared publicly by the Developer 3.4 iFrame Embedding The Developer may embed the Project Page on their own website using an iFrame Embedding displays the Spacer-hosted content within the Developer’s site. The content remains hosted on Spacer’s infrastructure and the underlying URL remains a Spacer-assigned address at all times The Developer does not receive a custom domain. The Project Page cannot be served from the Developer’s own domain Skillhouse is not responsible for how the Developer implements or displays the iFrame on their own website or any third-party platform 4. CAD File — Scope of Responsibility The CAD File submitted by the Developer is the sole and authoritative source for building the Project Page. The following principles apply without exception: Skillhouse builds what is in the CAD File. Nothing more, nothing less. Any information, detail, or feature not present in the submitted CAD File is outside the scope of Skillhouse’s responsibility and will not be represented on the Project Page The Developer is responsible for ensuring the CAD File is accurate, complete, and up to date before submission Skillhouse guarantees structural accuracy — that the layout, plot dimensions, and boundaries on the Project Page reflect the data in the CAD File. Skillhouse does not guarantee visual styling, aesthetic presentation, or photorealistic accuracy beyond what is reasonably achievable from the CAD data Any discrepancy between the real-world project and the Project Page that arises from inaccuracies in the CAD File is solely the Developer’s responsibility By submitting a CAD File, the Developer warrants that the file accurately represents the approved and authorised layout of the project and that they hold all rights to share and use it for this purpose. 5. Hosting Period and Renewals 5.1 Minimum Hosting Period Every Spacer project purchase includes a minimum Hosting Period of three (3) years from the Project Page go-live date. This minimum period is included in the base project fee. 5.2 Hosting Add-Ons Additional hosting years beyond the initial three-year period may be purchased as add-ons. Add-on pricing is subject to the rates applicable at the time of renewal and is not guaranteed to match the original project pricing. Skillhouse will endeavour to notify the Developer ahead of Hosting Period expiry. 5.3 Expiry Upon expiry of the Hosting Period (including any purchased extensions), Skillhouse may take down the Project Page. The Developer will be given [30 days] written notice before takedown. Skillhouse is under no obligation to continue hosting beyond the paid period. Developer Data will be retained for [90 days] after takedown before deletion, unless earlier deletion or export is requested in writing. 6. Platform Updates Skillhouse continually improves the Spacer platform and intends, in good faith, to make platform updates and improvements available to active projects. However: Skillhouse is under no obligation to provide any specific update, feature, or improvement to any project or Developer The availability of any update to any specific project is at Skillhouse’s sole discretion Not all updates will be applied to all active projects. Some updates may apply only to new projects or specific project tiers Updates, when provided, do not alter the commercial terms of any existing project The Developer should not make purchasing decisions based on the expectation of specific future features or updates. Skillhouse makes no commitment, express or implied, regarding the timeline, scope, or availability of any future update. 7. Pricing and Business Terms Skillhouse reserves the full and unconditional right to change its pricing, packaging, features, and any other business or commercial terms at any time, without prior notice, except as follows: Pricing agreed and confirmed at the time of a specific project purchase is honoured for that project’s base Hosting Period Renewal and add-on pricing (including hosting extensions) is subject to the rates applicable at the time of renewal and may differ from the original project pricing Skillhouse may introduce, modify, or discontinue features, tiers, or services at any time The Developer’s continued use of the Platform following any pricing or terms change constitutes acceptance of the updated terms for all future purchases and renewals. 8. Developer Obligations and Warranties 8.1 Accuracy of Data The Developer is solely responsible for the accuracy, completeness, and legality of all Developer Data uploaded to the Platform, including all information updated via the Dashboard The Developer will ensure that pricing, availability, and project details displayed on the Project Page are kept current and accurate Skillhouse plays no role in reviewing or approving any Developer Data and has no obligation to do so 8.2 Legal Compliance The Developer holds all necessary legal rights, regulatory approvals, and RERA registrations applicable to the project The Developer is fully responsible for ensuring that the Project Page complies with all applicable laws, including the Real Estate (Regulation and Development) Act, 2016, the Consumer Protection Act, 2019, and all other applicable Indian regulations Skillhouse does not verify and is not responsible for the Developer’s compliance with any legal or regulatory requirement 8.3 Consequences of Inaccurate Data The Developer acknowledges and agrees that any consequence arising from inaccurate, misleading, outdated, or non-compliant data on the Project Page — including buyer complaints, regulatory action, legal proceedings, or financial liability — is entirely the Developer’s responsibility. Skillhouse has no involvement in, and bears no liability for, any such consequence. The Developer agrees to fully indemnify and hold harmless Skillhouse, its directors, employees, and affiliates against any claim, loss, penalty, or proceeding arising from the content of the Project Page. 8.4 Prohibited Conduct The Developer will not use the Platform for any unlawful, deceptive, or fraudulent purpose The Developer will not attempt to reverse-engineer, copy, or exploit any part of the Spacer technology The Developer will not white-label, rebrand, or commercially resell Spacer as their own product or service (see Section 10 on Partners) 9. Skillhouse’s Role — Technology Provider Only Skillhouse is a technology platform provider and nothing more. Skillhouse: Does not verify, audit, or validate Developer Data or CAD Files Does not represent, endorse, or take responsibility for any project listed on the Platform Is not a real estate agent, broker, or advisor Is not a party to any transaction or agreement between the Developer and any Visitor Does not review or moderate the Project Page content after it goes live All consequences arising from the content, accuracy, and legality of the Project Page rest solely with the Developer. 10. Spacer Partners — Authorised Resellers Skillhouse operates a separate Spacer Partner Programme through which authorised agencies may resell Spacer to property developers on Skillhouse’s behalf. If the Developer has engaged Spacer through a Spacer Partner, these Terms still apply to the Developer’s use of the Platform. The commercial arrangement between a Developer and a Spacer Partner (including fees, support, and scope) is governed by a separate Partner Agreement between Skillhouse and that Partner. Skillhouse is not responsible for any representations made by a Partner that go beyond what is stated in these Terms. Developers cannot themselves become resellers of Spacer without entering into a formal Spacer Partner Agreement with Skillhouse. 11. Intellectual Property 11.1 Skillhouse IP The Spacer platform — including the Dashboard, rendering engine, visual framework, software, and all underlying technology — is the exclusive intellectual property of Skillhouse Private Limited. The Developer acquires no ownership over any part of the Platform. 11.2 Developer Data and CAD Files All Developer Data and CAD Files remain the intellectual property of the Developer or their client. By submitting them, the Developer grants Skillhouse a non-exclusive, royalty-free licence to process, host, and display this data for the purpose of operating the Project Page during the Hosting Period. 11.3 Permitted Use of the Project Page The Developer may share the Spacer URL publicly, with buyers, brokers, agents, and marketing channels, and may embed the Project Page via iFrame. The Developer may not white-label, rebrand, or commercially resell Spacer or the Project Page as their own technology or product. 12. Branding The presence of Spacer or Skillhouse branding on the Project Page is customisable and will be agreed upon at the time of project onboarding. Where no specific branding agreement exists, Skillhouse may display Spacer branding on the Project Page at its discretion. 13. No Refund Policy All fees paid to Skillhouse are non-refundable once account or project setup has commenced. The Developer acknowledges that platform provisioning, CAD processing, and project build involve immediate resource commitments by Skillhouse. No refund will be issued for: change of mind after setup commences, failure to use the Dashboard or Project Page, project cancellation or business changes on the Developer’s side, or termination of access due to the Developer’s breach of these Terms. 14. Termination and Suspension 14.1 Termination by Either Party Either Party may terminate the Developer’s account and active projects by providing [30 days] written notice. Upon expiry of the notice period, Dashboard access will be revoked and Project Pages will be taken offline. No refund is due upon termination under this clause. 14.2 Suspension or Termination by Skillhouse Skillhouse may suspend Dashboard access or take down a Project Page at its discretion, including but not limited to situations where: The Developer is in material breach of these Terms Skillhouse receives a valid legal or regulatory order in respect of the Project Page Continued hosting presents a legal, regulatory, or technical risk to Skillhouse For clarity, Skillhouse does not monitor the accuracy of Developer Data and the decision to take down or suspend a Project Page is entirely Skillhouse’s operational prerogative. It is not an obligation, and the Developer should not rely on any such action (or inaction) as a validation or endorsement of their data. 14.3 Effect of Termination Upon termination, the Developer’s licence and Dashboard access cease. Developer Data is retained for [90 days] post-termination before deletion unless earlier deletion is requested. No fees are refunded regardless of the reason for termination. 15. Service Availability Skillhouse uses commercially reasonable efforts to maintain Platform and Project Page availability. No specific uptime is guaranteed and no formal service level commitment is made under these Terms. Temporary unavailability due to maintenance, infrastructure, or events beyond Skillhouse’s control may occur. Skillhouse is not liable for any loss arising from such unavailability. 16. Limitation of Liability To the fullest extent permitted under applicable Indian law, Skillhouse’s total liability to the Developer shall not exceed the fees paid by the Developer for the specific Project giving rise to the claim. Skillhouse is not liable for any indirect, consequential, or punitive loss, including loss of business, revenue, or reputation, or any claim by a third party (including Visitors or buyers) in connection with the Developer’s use of the Platform or the content of the Project Page. 17. Changes to These Terms Skillhouse may update these Terms at any time. The updated version will be published on the Platform with a revised effective date. The Developer’s continued use of the Platform or Dashboard following publication of updated Terms constitutes acceptance. It is the Developer’s responsibility to review these Terms periodically. 18. Governing Law and Disputes These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably within 30 days of written notice. If unresolved, disputes shall be subject to the exclusive jurisdiction of competent courts in Bhuj, Gujarat, India. 19. Entire Agreement These Terms, together with any project-specific order confirmation or written proposal, constitute the entire agreement between Skillhouse and the Developer regarding the Spacer platform. They supersede all prior discussions and understandings. 20. Contact For queries, notices, or communications under these Terms: Skillhouse Private Limited Bhuj, Gujarat, India Platform: Spacer ACCEPTANCE BY CLICKING “I AGREE” These Terms are accepted electronically. When the Developer clicks “I Agree” at account creation, this constitutes a legally binding acceptance of these Terms in full, equivalent to a written signature under applicable Indian law. No physical signature is required. The Developer’s acceptance is logged by Skillhouse with a timestamp and account record at the time of signup. By accepting, the Developer confirms they have the authority to bind their organisation to these Terms. These Terms are effective as of April 2025.
